Article 1 — Seller

The products offered on the website vortex-corner.com (hereinafter "the Site") are sold by:

SAS VORTEX, a simplified joint-stock company (société par actions simplifiée) with share capital of €2, trading under the name Vortex Corner.

Hereinafter "Vortex Corner" or "the Seller".

Article 2 — Scope

2.1. These general terms and conditions of sale (hereinafter the "Terms of Sale") apply to any order placed on the Site by a natural person acting for purposes outside their trade or profession (hereinafter "the Customer"). Businesses may also place orders on the Site. In that case, the provisions reserved for consumers (right of withdrawal, legal guarantee of conformity, mediation) do not apply to them, save where the law provides otherwise.

2.2. Design and production services intended for businesses (Vortex Solutions) and made-to-order commissions based on a quotation are subject to specific terms communicated together with the quotation. These Terms of Sale apply to them in respect of any matter not covered by those specific terms.

2.3. The Customer declares that they have the legal capacity to enter into a contract. The Customer accepts the Terms of Sale by ticking the box provided for that purpose or by confirming their order. The applicable Terms of Sale are those in force on the date of the order. They are accessible at any time from the footer of the Site and may be saved or printed.

Article 3 — Products

3.1. Nature of the products. Vortex Corner is an alternative art gallery. The Site offers reproductions of artists' works and items derived from them:

  • Fine Art prints, including numbered and signed editions;
  • art prints;
  • textiles and accessories;
  • collectibles (guitars, masks and resin pieces, artbooks, bookplates, box sets, arcade cabinets);
  • as options, magnetic hanging rails or a wooden frame.

The essential characteristics of each product (format, paper, printing technique, edition size, material, dimensions) are stated on its product page.

3.2. Numbered editions. A numbered edition is printed in a limited number of copies, stated on the product page. Once that number has been reached, it is never reprinted in the same format. Numbers are allocated in order of purchase: the Customer receives the first number available at the time their order is confirmed and may not choose a particular number. The "X of Y copies left" counter is updated in real time but may occasionally fail to reflect a sale in progress. Cases of stock unavailability are dealt with in Article 5.4.

3.3. Signature. Where stated on the product page, each copy is hand-signed by the artist.

3.4. Colour rendering. Photographs and visuals are as faithful as possible. However, depending on screen settings, slight differences in colour may exist between the image displayed and the product. For screen prints, painted pieces and handcrafted items, slight variations from one copy to another are inherent to the technique: they attest to the handcrafted nature of the piece and do not constitute a defect.

3.5. Hanging and framing. Two options may be offered on the page of an artwork, depending on its format:

  • magnetic hanging rails in natural wood, 2 cm wide (top and bottom), in lengths of 31, 51 and 71 cm, for artworks 30, 50 and 70 cm wide. They are delivered in the tube, together with the artwork;
  • a wooden frame with a natural finish and a protective acrylic (Plexiglas) front, for the formats stated on the product page. The artwork is then delivered already framed, in a parcel.

The selected option appears in the cart as a separate line, linked to the artwork concerned.

3.6. Artists and copyright. The works are reproduced with the consent of their authors. Vortex Corner sells the products in its own name and remains the Customer's sole point of contact for all matters relating to their order. The purchase of a product transfers ownership of the physical medium, and of that alone: it does not transfer any right to reproduce, perform or otherwise exploit the work (Article L. 111-3 of the French Intellectual Property Code (Code de la propriété intellectuelle)).

Article 4 — Prices

4.1. Prices are stated in euros, inclusive of all taxes (French VAT included). They do not include delivery charges, which are stated before the order is confirmed.

4.2. The applicable price is the one displayed at the time the order is confirmed. Vortex Corner may change its prices at any time. In the event of an obvious clerical error in a price (a derisory price bearing no relation to the value of the product), the Seller may cancel the order and refund the Customer in full.

4.3. Free delivery on purchases of €150 or more within mainland France, subject to the conditions displayed at checkout. Collectibles are excluded from this offer: their delivery charges are stated at checkout. Guitars and arcade cabinets are delivered within France at a flat rate of €170 (guitar) and €400 (arcade cabinet); for delivery outside France, the Customer contacts the Seller for a quote.

4.4. Discount codes. Discount codes cannot be combined with one another: only one code may be used per order. The Club Vortex welcome code entitles the Customer to 10% off their first order. It is valid once per customer and cannot be combined with any other code. Codes are neither exchangeable nor refundable.

4.5. For deliveries outside the European Union, customs duties, import taxes and customs clearance fees may be charged by the country of destination. They are payable by the Customer and are not included in the price. See Article 7.6.

Article 5 — Orders

5.1. Steps. The Customer:

  1. selects their products (and, where applicable, the format, size, colour, hanging rails or frame) and adds them to their cart;
  2. enters their contact details and delivery address, then chooses the delivery method;
  3. checks the details of their order and its total price, and corrects any errors;
  4. accepts the Terms of Sale, then confirms their order by clicking the payment button, which constitutes an order with an obligation to pay;
  5. proceeds to payment.

5.2. Confirmation. The contract is concluded as soon as payment is confirmed. Vortex Corner sends a confirmation email summarising the order and containing these Terms of Sale (or a link to them).

5.3. Drops and Club early access. Certain pieces are released for sale at an announced date and time (a "drop"). Club Vortex members logged in to their account may be given access up to 24 hours before it opens to the public. Quantities are limited. No reservation is possible other than by placing a paid order.

5.4. Out of stock. If, despite real-time stock updates, a product or a copy of a numbered edition turns out to be unavailable after the order, Vortex Corner will inform the Customer as soon as possible. The Customer will then be refunded in full for the sums paid for that product, no later than 14 days after payment. The Seller may offer a product of equivalent quality and price, but only with the Customer's express consent.

5.5. Pre-orders. Certain products may be offered for pre-order, with an estimated shipping date stated on the product page. Payment is taken at the time of the order. In the event of delay, the rights provided for in Article 7.4 apply.

5.6. Vortex Corner may refuse or cancel an order in the event of an existing dispute with the Customer concerning a previous order, non-payment or a legitimate suspicion of fraud.

Article 6 — Payment

6.1. The price is payable in cash, in full, at the time of the order. The accepted payment methods are shown at checkout: bank cards (CB, Visa, Mastercard, American Express) and digital wallets (Apple Pay, Shop Pay, etc.) via Shopify Payments, PayPal, and payment in 3 instalments with Klarna (Article 6.3).

6.2. Payments are processed by secure providers: Shopify Payments for bank cards and digital wallets, PayPal for PayPal payments, and Klarna for payment in 3 instalments. Vortex Corner never has access to the Customer's banking details.

6.3. Interest-free payment in 3 instalments. This is offered for eligible orders through Klarna. The amount is split into three monthly instalments, the first being charged on the day of the order. This service is subject to approval by the provider, in accordance with its own terms, which the Customer accepts before using it.

6.4. Retention of title. The products remain the property of Vortex Corner until their price has been paid in full.

Article 7 — Delivery

7.1. Areas. Products are delivered within mainland France and the other countries offered at checkout. Vortex Corner does not deliver to the French overseas territories (overseas departments, regions and collectivities).

7.2. Lead times. Orders are shipped within 5 working days of payment confirmation, except for pre-orders or where a different lead time is stated on the product page. Transit time depends on the carrier and the destination, and is stated when the delivery method is chosen. Failing any such indication, the product is delivered no later than 30 days after the contract is concluded.

7.3. Packaging and tracking. Art prints are shipped in a hexagonal tube. Fine Art prints benefit from double packaging: a rigid round tube, slipped inside a second square tube. Artworks ordered with a wooden frame are delivered already framed, in a parcel. All shipments are tracked and insured. A tracking number is sent by email upon dispatch. Carriers: Colissimo, Chronopost and Shop2Shop (delivery to a pick-up point), as chosen by the Customer when ordering.

7.4. Late delivery. If the product is not delivered on the agreed date or within the agreed time, the Customer may, in writing, require Vortex Corner to deliver within a reasonable additional period. If delivery does not take place within that period, the Customer may terminate the contract by registered letter or in writing on another durable medium, for example by email. Vortex Corner then refunds all sums paid, including delivery charges, no later than 14 days thereafter (Articles L. 216-2 et seq. of the French Consumer Code (Code de la consommation)).

7.5. Damaged parcel. The risk of loss or damage passes to the Customer when the Customer, or a third party designated by them (other than the carrier), takes physical possession of the products. If the parcel appears damaged on receipt, the Customer is invited to record specific reservations with the carrier or to refuse the parcel, to photograph it and to notify Vortex Corner within 48 hours at contact@vortex-corner.com. This step makes it easier for the carrier to handle the claim, but it is not a condition of the Customer's statutory rights (Article 9).

7.6. Parcel not collected, refused or undeliverable. A parcel may be returned to Vortex Corner because it was not collected within the carrier's time limits, because the Customer refused it for a reason unrelated to a defect, because the address provided was incorrect or incomplete, or because the Customer refused to pay import duties and taxes. Vortex Corner then contacts the Customer, who chooses:

  • re-shipment, with the new shipping charges payable by the Customer;
  • or cancellation of the order: the Customer is then refunded the price of the products, less the initial shipping charges, the return charges invoiced to the Seller and, where applicable, the duties and taxes paid by the Seller. The refund is made within 14 days of receipt of the returned parcel.

If the Customer does not respond within 60 days of the reminder sent to the email address used for the order, the order is cancelled and refunded under the conditions set out above. In the case of a numbered edition, the copy is put back on sale.

Article 8 — Right of withdrawal

8.1. Period. In accordance with Articles L. 221-18 et seq. of the French Consumer Code, the Customer has a period of 14 days in which to withdraw, without having to give any reason. This period runs from the day on which the Customer, or a third party designated by them (other than the carrier), takes physical possession of the product. Where several products ordered are delivered separately, it runs from receipt of the last product.

8.2. Exercise. To withdraw, the Customer informs Vortex Corner of their decision before the period expires. They may do so by means of an unequivocal statement sent by email to contact@vortex-corner.com, or by using the model form set out in the annex. Vortex Corner acknowledges receipt without delay.

8.3. Return of the products. The Customer sends the products back no later than 14 days after communicating their decision, to the following address: A3Prod Logistique — Retours Vortex Corner, 8 rue des Compagnons, 14000 Caen, stating the order number. Return costs are borne by the Customer. For products that, by their nature, cannot normally be returned by post (guitars, arcade cabinets), the cost of return is estimated at about €170 for a guitar and €400 for an arcade cabinet from mainland France. Prints must be returned in their tube or in equally protective packaging, so that they arrive in good condition. The Customer is liable for any diminished value of the products resulting from handling other than what is necessary to establish their nature, characteristics and functioning. For textiles, this covers in particular an item that has been worn or washed, or whose labels have been removed. For a print, this covers in particular a print that has been folded, stained or framed, or whose signature or certificate has been altered.

8.4. Refund. Vortex Corner refunds all sums paid, including the initial delivery charges, no later than 14 days after being informed of the withdrawal. However, if the Customer chose a delivery method more expensive than the standard delivery offered, the additional cost remains payable by the Customer. The Seller may withhold the refund until the products have been received, or until the Customer has supplied proof of dispatch, whichever is earlier. The refund is made using the payment method used for the order, unless the Customer expressly agrees to another method, and at no cost to the Customer.

8.5. Exceptions. In accordance with Article L. 221-28, 3° of the French Consumer Code, the right of withdrawal does not apply to goods made to the Customer's specifications or clearly personalised, including in particular:

  • prints dedicated to a named person designated by the Customer;
  • prints produced in a custom format, outside the formats offered in the catalogue;
  • more generally, any made-to-order commission produced on the basis of a quotation in accordance with the Customer's requests (specific paper, particular finish, etc.);

Numbered editions and hanging rails. Apart from the cases above, numbered and signed prints are covered by the right of withdrawal under the conditions of this Article. They must be returned in their original packaging (tube or, for an artwork ordered with a wooden frame, the original parcel with its frame), without any fold, mark or alteration, together with their certificate of authenticity where applicable. The returned copy is put back on sale under its original number. Magnetic hanging rails and frames may also be returned, in their original packaging or in equally protective packaging. The Customer, who bears the risks of the return, must ensure careful packaging: a product damaged as a result of inadequate packaging or excessive handling may give rise to a reduction in the refund corresponding to its diminished value (Article 8.3).

8.6. Textile exchange. Separately from the right of withdrawal, a textile item may be exchanged for another size within 14 days of its receipt, provided it has been neither worn nor washed, and subject to availability. The shipping costs of the exchange (return of the item and new shipment) are borne by the Customer.

Article 9 — Statutory guarantees

9.1. All products are covered by the legal guarantee of conformity (Articles L. 217-1 et seq. of the French Consumer Code) and the guarantee against hidden defects (Articles 1641 to 1649 of the French Civil Code (Code civil)). These guarantees apply independently of the right of withdrawal and of any commercial goodwill gesture.

9.2. To invoke them, the Customer contacts Vortex Corner at contact@vortex-corner.com, describing the defect and attaching photographs where possible. Where a return is necessary, the costs are borne by Vortex Corner.

9.3. Mandatory information on the legal guarantee of conformity (Decree No. 2022-424 of 25 March 2022):

The consumer has a period of two years from delivery of the goods to obtain the application of the legal guarantee of conformity in the event of a lack of conformity appearing. During this period, the consumer is only required to establish the existence of the lack of conformity and not the date on which it appeared. Where the contract for the sale of the goods provides for the continuous supply of digital content or a digital service over a period exceeding two years, the legal guarantee applies to that digital content or digital service throughout the intended period of supply. During this period, the consumer is only required to establish the existence of the lack of conformity affecting the digital content or digital service and not the date on which it appeared. The legal guarantee of conformity entails an obligation on the part of the trader, where applicable, to supply all updates necessary to keep the goods in conformity. The legal guarantee of conformity entitles the consumer to have the goods repaired or replaced within thirty days of their request, free of charge and without significant inconvenience to them. If the goods are repaired under the legal guarantee of conformity, the consumer benefits from a six-month extension of the initial guarantee. If the consumer requests repair of the goods but the seller imposes replacement, the legal guarantee of conformity is renewed for a period of two years from the date on which the goods are replaced. The consumer may obtain a reduction in the purchase price while keeping the goods, or terminate the contract and obtain a full refund upon return of the goods, if: 1° The trader refuses to repair or replace the goods; 2° The repair or replacement of the goods takes place after a period of thirty days; 3° The repair or replacement of the goods causes significant inconvenience to the consumer, in particular where the consumer definitively bears the costs of taking back or removing the non-conforming goods, or bears the costs of installing the repaired or replacement goods; 4° The lack of conformity of the goods persists despite the seller's unsuccessful attempt to bring them into conformity. The consumer is also entitled to a reduction in the price of the goods or to termination of the contract where the lack of conformity is so serious that it justifies an immediate price reduction or termination of the contract. In that case, the consumer is not required to request repair or replacement of the goods beforehand. The consumer is not entitled to terminate the sale if the lack of conformity is minor. Any period during which the goods are out of use for repair or replacement suspends the remaining period of the guarantee until the goods are delivered back in working order. The rights set out above result from the application of Articles L. 217-1 to L. 217-32 of the French Consumer Code. A seller who obstructs in bad faith the application of the legal guarantee of conformity is liable to a civil fine of up to 300,000 euros, which may be increased to 10% of average annual turnover (Article L. 241-5 of the French Consumer Code). The consumer also benefits from the legal guarantee against hidden defects pursuant to Articles 1641 to 1649 of the French Civil Code, for a period of two years from discovery of the defect. This guarantee entitles the consumer to a price reduction if the goods are kept, or to a full refund upon return of the goods.

9.4. Defective numbered edition. If a copy of a numbered edition is defective and cannot be replaced with an identical copy because the edition is closed, the Customer is refunded in full, including delivery charges, upon return of the product.

Article 10 — Liability

10.1. Vortex Corner is automatically liable to the consumer Customer for the proper performance of the obligations arising under the contract, in accordance with Article L. 221-15 of the French Consumer Code. It may, however, be released from all or part of its liability by proving that the non-performance is attributable to the Customer, to the unforeseeable and insurmountable act of a third party to the contract, or to an event of force majeure.

10.2. Photographs, texts and information about the artists are provided for presentation purposes. They do not form part of the contract, except as regards the essential characteristics of the product.

Article 11 — Customer service and complaints

For any question or complaint: contact@vortex-corner.com, stating the order number. Vortex Corner undertakes to respond as soon as possible, in principle within 48 working hours.

Article 12 — Consumer mediation

In accordance with Articles L. 612-1 et seq. of the French Consumer Code, the consumer Customer may refer the matter free of charge to the consumer mediator below. The Customer must first have sent a written complaint to Vortex Corner. Mediation is only possible if that complaint has not been resolved, and no later than one year after it was sent.

Article 13 — Personal data

The data collected when an order is placed are necessary for its processing, delivery and invoicing and for customer relations. Their processing is described in the Privacy Policy. The Customer has the rights provided for by the GDPR, which they may exercise at contact@vortex-corner.com.

Article 14 — Evidence and archiving

Vortex Corner's computerised records, kept under reasonable security conditions, constitute proof of the communications, orders and payments made between the parties. For any order of €120 or more, Vortex Corner keeps the written record of the contract for 10 years from delivery and guarantees the Customer access to it upon simple request (Articles L. 213-1 and D. 213-1 of the French Consumer Code).

Article 15 — Force majeure

Neither party shall be liable for any delay or non-performance resulting from an event of force majeure within the meaning of Article 1218 of the French Civil Code. If the impediment continues for more than 30 days, either party may terminate the order concerned, and the sums paid are then refunded.

Article 16 — Governing law and disputes

16.1. These Terms of Sale are governed by French law. However, a consumer Customer residing in another State retains the protection afforded to them by the mandatory provisions of the law of their country of residence.

16.2. In the event of a dispute, an amicable solution will be sought first, if necessary through the mediation provided for in Article 12. Failing that:

  • the consumer Customer may bring proceedings, at their choice, before any of the courts having territorial jurisdiction under the French Code of Civil Procedure (Code de procédure civile), or before the court of the place where they were residing at the time the contract was concluded or the harmful event occurred (Article R. 631-3 of the French Consumer Code);
  • between businesses, the dispute falls within the exclusive jurisdiction of the courts of Paris.
